Here's a snippet from the FAQ on GameFAQs. Hope it helps.

Cagnazzo can also retreat into his shell, where he takes less damage and will
regenerate HP over time. Also, keep in mind that Cagnazzo can still counter-
attack you while inside his shell.
I shouldn't have to say it, but Cagnazzo can also utilize the age-old physical
attack for damage that can probably KO nearly any mage on your team.
Lastly, when you see that "Water is surging to Cagnazzo's feet!", you should
immediately attack him with a Lightning-based attack (any spell or item that is
Lightning-based will do). Otherwise he will use Tsunami, which is an incredibly
devestating water attack. It can shave off a ton of HP and even cause Death
(which is just an instant-KO attack). Luckily, you don't actually have to see
Tsunami in action during this fight, which is a very good thing for you.
Cagnazzo can't be hit with Silence (trust me, I tried). You CAN hit him with
Slow, which is always a good choice. You can also hit him with Blind and Poison
attacks to inflict those status effects. While the water is at his feet,
Cagnazzo becomes resistant to Ice and weak to Lightning attacks.
To start, Porom and Tellah should use Protect and Shell; they should then cast
Haste on one of them (chances are only Tellah has this spell). Porom should use
Cry so that Yang can Focus three times and attack.
Palom should use Bluff and then Blizzara. Even though Tellah has the more
powerful Blizzaga at his disposal, he can only cast it three times before he
needs an MP refill. I suggest you have Tellah on standby to cast Thunder when
Cagnazzo tries to bring the water around his feet.
Cecil is a different story. You don't want him to invoke a Counter: Hold and he
can't really do anything other than support the others. Have him use Echo Herbs
(hopefully you bought a few back in Baron like I mentioned) on those who are
hit with Silence and use Potions or Hi-Potions on those who need healing. If
you're in a pinch and Tellah is Sleeping on the job, you can have Cecil use a
Zeus's Wrath when Cagnazzo brings the water around his feet.
Cagnazzo isn't too hard but the battle is more of a slugfest than anything.
It's more of an endurance test. With time, Cagnazzo will fall.
